General
These Terms & Conditions (“Agreement”) govern your purchase, subscription, engagement, access, or use of the services provided by Adva Labs.
By accessing or using our services, you are agreeing to be bound by these Terms & Conditions and any further agreements made between you and our team.
Adva Labs provides AI-focused technology services, which may include the design, development, creation, deployment, testing, optimisation, and maintenance of AI agents, AI models, industrial AI systems, automation tools, data-driven systems, analytics workflows, and related software or consulting services.
Services, Plans & Pricing
Adva Labs may offer multiple service levels, packages, subscriptions, or custom project arrangements with varying access to services, features, usage limits, support, deliverables, and technical scope based on the selected plan or agreement.
Each tier or engagement may include differences in:
AI agent development and deployment;
AI model creation, fine-tuning, testing, or optimisation;
industrial AI solution design;
data analysis and system integration;
usage limits, compute limits, or credits;
feature access levels;
support, maintenance, and consulting availability;
implementation timelines and deliverables.
The pricing, plan names, features, service descriptions, and inclusions listed on our website may change from time to time.
Subscription plans, proposals, statements of work, or separate service agreements will further outline the details of the services, pricing, scope, usage limits, deliverables, responsibilities, and support terms. These agreements will be agreed upon by both parties, Adva Labs and the client, prior to providing the relevant services.
Pricing & Payment
Individual payment terms will be outlined in your service agreement, proposal, invoice, subscription plan, or statement of work with Adva Labs. This may include deposit requirements, pricing, billing cycles, due dates, payment terms, refund terms, and any applicable third-party costs.
Unless otherwise agreed in writing:
Fees are billed in advance;
All payments are non-refundable unless required by law;
All payments must be made in full before the services are provided or continued;
Adva Labs may suspend access, delay services, restrict access, cancel services, or terminate the engagement for non-payment or failure to comply with payment terms;
Pricing may change with reasonable notice;
Additional work, further requests, or services outside the original agreed scope of work may be subject to additional fees; and
Any third-party costs may be charged separately unless otherwise stated in writing.
Client Responsibilities
Clients are responsible for:
Providing accurate and complete instructions, project requirements, data, system access, credentials, documentation, and technical information;
Ensuring they have the legal right to provide any data, documents, system access, or materials to Adva Labs;
Reviewing and approving deliverables, outputs, models, agents, integrations, and recommendations;
Testing and validating all services before relying on them in operational, industrial, commercial, regulated, or safety-sensitive environments;
Maintaining appropriate human oversight, security controls, backups, risk management, and compliance processes;
Complying with applicable laws, regulations, standards, policies, and industry requirements.
Adva Labs is not responsible for delays, errors, performance issues, or service limitations caused by incomplete information, poor data quality, client-side systems, third-party platforms, unauthorised data, changes in scope, or lack of client cooperation.
AI Models, Agents & Outputs
Adva Labs may create, configure, deploy, or support AI models, AI agents, automated workflows, analytics tools, and related systems.
Clients acknowledge that AI systems may produce inaccurate, incomplete, biased, unexpected, or unreliable outputs. Unless expressly agreed in writing, Adva Labs does not guarantee that any AI model, AI agent, output, prediction, recommendation, automation, or result will be accurate, error-free, uninterrupted, or suitable for a particular purpose.
Clients are responsible for ensuring that any AI-generated outputs are reviewed, tested, validated, and monitored before use.
Cancellations & Refunds
Clients must provide written notice if they wish to cancel or reschedule the service.
Specific refund terms will be outlined in the applicable service agreement, proposal, subscription plan, or statement of work.
Cancellations made within the specified time frame may qualify for a refund, subject to the terms of the applicable agreement.
Refunds may not be available for completed work, custom development, model training, third-party costs, infrastructure costs, subscriptions already commenced, or services already delivered, unless required by law or agreed in writing.
Limitation of Liability
To the extent permitted by law, Adva Labs disclaims all representations, warranties, and conditions, express or implied. Adva Labs is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of business, revenue, profits, data, systems, reputation, production, operations, opportunities, or anticipated savings.
As a result of accessing or using our services, you assume full responsibility for any actions or decisions you may make, including any third-party relations, operational decisions, system deployments, or reliance on AI outputs.
Adva Labs is not responsible for any damages caused by clients, users, third parties, client-side systems, third-party platforms, poor data quality, unauthorised use, pre-existing system conditions, or project-site issues.
Further, Adva Labs shall not be held liable for any failure to fulfil obligations due to circumstances beyond our control, including but not limited to natural disasters, strikes, government restrictions, internet outages, cloud service failures, cyber incidents, power failures, supply chain disruptions, or third-party service interruptions.
Indemnification
Clients agree to indemnify and hold Adva Labs harmless against any claims, damages, losses, liabilities, costs, or expenses arising from their negligence, misuse of the services, failure to comply with these Terms, unlawful use of data, breach of third-party rights, or failure to comply with applicable laws and regulations.
Confidentiality
Where Adva Labs and the client exchange confidential information, both parties agree to take reasonable steps to protect such information and use it only for the purpose of the relevant business relationship or service engagement.
Confidential information may include business information, technical information, systems, data, models, prompts, workflows, reports, trade secrets, project documentation, pricing, and other non-public materials.
Confidentiality obligations do not apply to information that is publicly available, independently developed, already known, or lawfully received from a third party without restriction.
Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of New South Wales, Australia, and any disputes will be resolved in the appropriate courts within that jurisdiction.
Changes to Terms
Adva Labs reserves the right to modify these Terms & Conditions at any time without prior notice. Any changes will be effective immediately upon publication on the website. Clients will be notified of any significant changes where appropriate.
